The Deal.
On Monday 18 May 2026, Dominion announced its acquisition by NextEra Energy at a valuation of US$75.97 per share. Pending regulatory approval, the combined company will hold around 10m customer accounts in Florida, Virginia, North Carolina and South Carolina, with NextEra shareholders owning 74.5% of the new combined entity.
The Parties.
NextEra Energy: Florida-based energy provider (Juno Beach) serving around 12m customers in Florida. It has a specialisation in wind, solar and batteries, recently beginning to restart the Duane Arnold nuclear plant in Iowa, and owns the Seabrook nuclear plant in New Hampshire.
Dominion Energy: Virginia-based electricity provider located in “data center alley”, the world’s largest grouping of data centres globally. Dominion’s customers include Alphabet, Amazon, Meta, and Microsoft (Reuters).
Structure & Process.
Two Steps. The deal is being conducted in two steps. First, a NextEra subsidiary is being merged into Dominion. Then, Dominion will merge into CS Holdco LLC, owned by NextEra. This structure was used to achieve a tax-free reorganisation under s.368(a) of the US tax code, giving both firms greater flexibility as to the taxation status of the combined entity. Note: the cash deal itself remains taxable.
Regulatory Approval. Both firms are seeking approvals from local and federal regulators, including the North Carolina Utilities Commission and the Public Service Commission of South Carolina. The Virginia State Corporation Commission test is whether adequate service as just and reasonable rates will be “impaired or jeopardised” by this merger, and their decision is due in January 2027.
Termination Fees. To prevent either side from backing out of the deal at the last minute, heavy termination fees have been agreed by both sides, with NextEra even agreeing to pay a fee if the regulatory conditions prevent the merger from going ahead.
Financing Angle.
This deal is notable for its lack of leverage. The deal is paid for in shares and cash only. However, both companies already hold sizeable debt piles as part of their day-to-day financing operations
Why it matters.
If approved, this would be the largest utility merger in US history, creating the largest electric utility entity by market cap. For comparison, the 2012 Duke Energy & Progress acquisition had an estimate value of $32 billion. The Dominion-NextEra Energy deal is valued at around $67 billion. The strategic rationale behind the deal is clear - Dominion’s geographical position allows it to secure a range of large customers, and merging with NextEra Energy gives it the capacity to provide the supply that these customers will require.
